Terms of Service

These terms are a contract between GRAEYNA LIMITED ("we", "us"), a company registered in England and Wales, company no. 17330833, registered office: 85 New Village Way, Morley, Leeds, England, LS27 7GD (more about us at graeyna.com), and the badminton association, club or organisation that registers for Rally (the "association"). They also govern every individual user's use of the service. By creating an account or accepting these terms in the app, you agree to them.

1. The service

Rally is a season management platform for badminton associations: fixtures, player availability, team selection, live scoring, results and related features. We may improve or change features over time; we will not materially reduce the core service you pay for during a paid period.

2. Accounts and roles

You must provide accurate information and keep your login credentials confidential. Accounts are personal and must not be shared. The association's managers control who has access to the association's data through Rally's roles (manager, coach, parent or player), and are responsible for keeping those permissions appropriate.

3. The association's responsibilities for its data

The association is the data controller for the player, guardian and match information it enters into Rally, and it must have a lawful basis for that data. In particular, because Rally is used for junior sport, the association confirms that it has the guardian's permission before entering a player's details, and Rally records that confirmation. The association must keep the information it holds accurate, use it only for running its badminton activities, and respond to requests from its own members about their data. We act as the association's data processor as described in our Privacy Policy, which forms part of these terms.

4. Acceptable use

You must not use Rally to break the law, infringe others' rights, upload malicious code, attempt to access other associations' data, or resell the service. We may suspend accounts that put the platform or other customers at risk, and where practical we will warn you first.

5. Trial, fees and billing

New associations receive a 30 day free trial with no card required. After the trial, continued use requires a subscription: £9.99 per month or £99.99 per year, taken by our payment provider Stripe. Prices are in pounds sterling; we are not currently registered for VAT, so no VAT is added. If we become VAT registered we will update these terms.

Subscriptions renew automatically until cancelled. You can cancel at any time from the billing screen; cancellation takes effect at the end of the period already paid for, and no partial refunds are given for the remainder of a period except where the law requires. If payment fails we will retry for a grace period before access is paused.

If a trial ends or a subscription lapses, access is paused but the association's data is not deleted; it is retained as described in the Privacy Policy so the association can resume by subscribing.

We may change prices with at least 30 days' notice; changes apply from your next renewal.

6. Availability and support

We aim to keep Rally available and reliable, but the service is provided without a guaranteed uptime level. We may perform maintenance, and we will try to schedule disruptive maintenance sensibly. Support is provided by email at [email protected].

7. Intellectual property

We own Rally and its software, design and branding. The association owns the data it enters. You grant us the limited rights needed to host, process and back up that data in order to provide the service, and no more.

8. Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential losses, loss of profit, or loss of data caused by events outside our reasonable control, and our total liability arising from the service in any 12 month period is capped at the amount the association paid us in that period. Rally is a tool for administering sport; the association remains responsible for its own safeguarding, selection and sporting decisions.

9. Termination

The association may stop using Rally and delete its account at any time. We may terminate or suspend an account for material breach of these terms that is not remedied after notice, or where required for legal or security reasons. Sections that by their nature should survive (including liability and intellectual property) survive termination.

10. Changes to these terms

If we change these terms we will publish the new version with a new version number, and account holders will be asked to review and accept it the next time they use Rally. If you do not accept the new terms you may stop using the service and, if you have paid for an unused period, contact us about a pro rata refund.

11. General

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any part of these terms is found unenforceable, the rest remains in effect. These terms, together with the Privacy Policy, are the entire agreement between us regarding the service.
